Acceptance

This Terms of Use Agreement (“Agreement”) constitutes a legal contract between you and BronzeWood SP, ("BronzeWood").

This Agreement outlines the terms and conditions governing your access to and use of any website that BronzeWood chooses to link with this Agreement (individually referred to as a “Website”). By accessing and utilizing a Website, you acknowledge your acceptance of, and agreement to be legally bound by, the terms of this Agreement. Limited Licence

Under the terms and conditions of this Agreement, you are granted a limited, fully revocable, non-transferable, and non-exclusive license to access, view, and use the Website for your personal, non-commercial purposes. This license allows you to download, store, and print single copies of items from the Content for personal, non-commercial use, as long as you retain all copyright, trademark, and other notices contained in the Content. This limited license does not include any rights not explicitly mentioned herein. Your limited license to use the Website and Content will be automatically revoked upon the termination or expiration of this Agreement, whichever comes first. Limitation of Liability

Subject to applicable law, BronzeWood, along with its partners, employees, consultants, representatives, officers, directors, agents, and licensors (collectively known as "BronzeWood Released Parties") shall not be liable for any damages of any kind. You agree to indemnify and hold each of the BronzeWood Released Parties harmless from any claims, losses, judgments, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Website, the Content, or otherwise related to this Agreement, including any breach by you. Additionally, you will indemnify and hold the BronzeWood Released Parties harmless from any claims brought by third parties arising out of your use of Content from this Website. You agree that the applicable BronzeWood Released Party/Parties may assume the defense and control of any matter for which you must indemnify them, and you agree to cooperate, at your expense, with our defense of these claims. Governing Law and Jurisdiction

Subject to applicable law, by accessing or using a Website from anywhere in the world, you agree that all matters related to your access or use of the Website and its Content will be governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of laws principles. You also agree and submit to the exclusive jurisdiction of the courts of the Province of Ontario for all matters related to your access and use of the Website.

Termination:

Third-Party Rights

The BronzeWood Released Parties shall be recognized as third-party beneficiaries in respect of the benefit of the indemnities given by you in this Agreement.

Entire agreement

Except for any agreement in respect of Content, this is the entire agreement between you and BronzeWood relating to your access and use of the Websites and the Content herein.

General

If any term or provision of this Agreement is found to be invalid by a court of competent jurisdiction, it shall be severed, and the remaining provisions shall continue in full force and effect. You may not assign, transfer, subcontract, or delegate your rights, duties, or obligations under this Agreement. BronzeWood will not be considered to have waived any of its rights or remedies outlined in this Agreement unless such a waiver is in writing and signed by the relevant BronzeWood entity. Any delay or failure by BronzeWood to exercise its rights or remedies will not impair or be interpreted as a waiver. A single or partial exercise of a right or remedy does not preclude further exercise of any other right or remedy. Bronzewood's failure to enforce strict performance of any provision of this Agreement will not constitute a waiver of its right to enforce such provision or any other provision in the future. The headings in this Agreement are included for convenience only and have no legal or contractual significance.
